When a company is trying to raise money for finances, it will use securities. A security can be multiple methods of raising capital, including selling equity (stock), borrowing money, bonds, mortgages, and more.
Securities lawyers are the legal officials who help oversee this process. They will make sure everything the company does to raise funds is above board. They must have a thorough knowledge of the many regulations that govern the company, including federal laws, state laws, and industry regulations.
Securities lawyers will also work for governmental agencies like the Securities and Exchange Commission, or SEC, to police the way companies use securities. These lawyers are transactional lawyers, meaning they help with the rules of transactions. They are rarely going to court, if ever.
